Andrew Goldenberg is an experienced trial lawyer whose practice focuses on complex commercial and real estate litigation. He regularly serves as lead trial counsel in high stakes disputes in federal and state courts and in arbitration. His trial experience includes trials, evidentiary hearings, and commercial arbitrations involving business ownership, commercial contracts, fiduciary duties, real estate investments, commercial leases and financial services. His representative trial and hearing experience includes:
- Lead trial counsel in a trial resulting in a multi-million judgment against a commercial tenant, an entitlement to attorneys’ fees, and dismissal of the tenant’s counterclaim.
- Lead counsel in an arbitration involving ownership and management disputes among the principals of an investment-management firm, successfully defeating all five counterclaims, including claims seeking more than $10 million in relief.
- Lead counsel in a Commercial Division trial resulting in a settlement under which Andrew’s client retained sole ownership of a Brooklyn property, increased her ownership interest in another property, and obtained sole management authority over the entity holding that property.
- Lead counsel in a Commercial Division trial involving a multimillion-dollar dispute among real estate investors concerning the acquisition, ownership and disposition of Manhattan multifamily properties.
- Lead counsel in the first in-person SDNY federal trial post-COVID concerning competing claims arising from a multimillion-dollar commercial loan commitment.
- Represented members of a family in an evidentiary proceeding in the SDNY Bankruptcy Court after a trustee sought a default judgment exceeding $9 million. The case was settled on favorable terms for Andrew’s clients.
Andrew also has substantial appellate experience and routinely argues appeals in the First and Second Departments, as well as in the Second Circuit. For example, in 2025, he represented a client in the Second Circuit and secured reversal of the dismissal of direct breach of contract claims seeking at least $48 million in damages, allowing those claims to proceed on remand. He previously represented creditors in a successful appeal to the New York Court of Appeals involving novel questions concerning the standing of an indenture trustee and alter-ego claims.
Earlier in his career, Andrew played a critical role in securing a $565 million judgment for holders of defaulted notes in litigation challenging a dividend recapitalization on fraudulent conveyance grounds. His broader litigation experience includes disputes involving distressed debt, bankruptcy, private investment funds, closely held businesses, commercial real estate and partnership and membership interests.
Andrew handles matters from their inception through trial and appeal and frequently becomes involved when a dispute is likely to require an evidentiary hearing or trial. He also advises businesses and investors on selected corporate and real estate matters where his litigation experience provides a practical perspective on risk and dispute avoidance.
